Oando PLC AGM Passes All Resolutions, Approves Digital Asset Rules
Oando PLC held its 47th Annual General Meeting on Thursday, 17 September 2026, where shareholders approved every resolution presented. The meeting re‑elected Mr Ademola Akinrele, SAN, Mr Omamofe Boyo, Mr Ikeme Osakwe and Mr Adeola Ogunsemi as directors retiring by rotation, and re‑appointed BDO Professional Services as the external auditor. Shareholders also elected members of the Statutory Audit Committee and endorsed the remuneration package for Non‑Executive Directors.
Amendments to the company’s Memorandum and Articles of Association were adopted to allow physical, electronic or hybrid general meetings and to include provisions for digital assets, cryptographic technologies and distributed ledger technologies, subject to applicable laws. The board received authorisation to pursue listings on other stock exchanges, including cross‑border listings, pending regulatory approvals.
Shareholder Mrs Bisi Bakare praised the board’s shift from broad‑based exploration to a disciplined asset‑prioritisation approach in the mining and infrastructure business, calling it prudent for capital allocation. Group Chief Executive Mr Jubril Adewale Tinubu stressed that operational control and clear accountability are key to executing the growth strategy, promising responsible capital allocation, timely reporting and adherence to guidance. Chairman Mr Ademola Akinrele thanked shareholders for their attendance, thoughtful questions and continued confidence.
